Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of OpenCounsel websites, software, and services (collectively, the "Services"). By using the Services, you agree to be bound by these Terms.
Who We Are
OpenCounsel ("ONX", "we", "us") provides an AI workspace and related tools for research, drafting, and analysis.
Eligibility
You must be at least the age of majority in your jurisdiction to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Accounts & Security
- You are responsible for the activity that occurs under your account and for safeguarding your credentials.
- Notify us immediately of any unauthorized use of your account.
License & Acceptable Use
Subject to these Terms, we grant you a limited, non‑exclusive, non‑transferable license to use the Services for your own lawful purposes. You agree not to:
- Reverse engineer, decompile, or attempt to extract source code from the Services.
- Use the Services to violate law, infringe rights, or engage in harmful, fraudulent, or deceptive activity.
- Access or use the Services to build a competing product or service.
- Interfere with or disrupt the integrity or performance of the Services.
Your Content
- You retain ownership of content you submit to the Services ("User Content").
- You grant ONX a worldwide, non‑exclusive license to host, process, and display User Content solely to provide and improve the Services.
- You represent that you have all rights necessary to submit the User Content and that it does not violate law or third‑party rights.
Beta Features
From time to time, we may offer features labeled alpha, beta, or preview. These are provided for evaluation on an "as is" basis and may change or be discontinued at any time.
Third‑Party Services
The Services may interoperate with third‑party products or services. We are not responsible for third‑party terms or policies—review them separately.
No Legal Advice
ONX is not a law firm and does not provide legal advice. Information generated by the Services may be inaccurate or incomplete. You are responsible for verifying outputs and obtaining professional advice where appropriate.
Fees & Taxes
If you purchase paid features, you agree to pay applicable fees and taxes. Unless required by law, fees are non‑refundable.

Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR‑FREE.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ONX AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You will defend, indemnify, and hold harmless ONX and its affiliates from any claim, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Services or violation of these Terms.
Termination
We may suspend or terminate your access to the Services at any time with or without notice if we believe you have violated these Terms or if required by law. You may stop using the Services at any time.
Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario.
Export & Sanctions
You may not use the Services in violation of export control or sanctions laws. You represent that you are not barred from using the Services under such laws.
Changes
We may update these Terms from time to time. If we make material changes, we will provide notice. Your continued use of the Services after changes take effect constitutes acceptance.
